Who Can Use LocusGraph
You must:
Be at least 18 years old (or the age of majority in your jurisdiction)
Have the legal capacity to enter into contracts
Not be an individual or entity barred from using the Service under applicable law
If you use LocusGraph on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
"Account"
Your LocusGraph user account and associated settings, API keys, and billing information
"Memory Data"
All events, patterns, skills, contexts, and other data you store in LocusGraph on behalf of you or your agents
"Agent"
An AI or autonomous system using LocusGraph to accumulate and retrieve skills and memory
"Skill"
A graduated, reusable piece of knowledge promoted from patterns by LocusGraph's graduation engine
"User Content"
Any data, text, code, or other information you input, upload, or transmit to the Service
"Service"
LocusGraph's platform, APIs, SDKs, website, and all related features and services
"Confidential Information"
Non-public information disclosed by one party to the other under this agreement
"Effective Date"
The date you accept these Terms; for new users, the date of account creation
Account Registration
When you create an account, you agree to:
Provide accurate, complete, and current information
Keep your account credentials confidential and secure
Notify us immediately of any unauthorized access or use
Accept responsibility for all activity under your account
API Keys and Authentication
Your API keys are secrets. Treat them like passwords:
Do not share them publicly
Do not commit them to version control
Rotate them periodically (we recommend every 90 days)
If you believe a key is compromised, regenerate it immediately
We are not responsible for unauthorized access resulting from your failure to secure your credentials.
Account Restrictions
You may not:
Share your account with others (unless using a Team plan with properly provisioned seats)
Use another person's account without permission
Create multiple free accounts to circumvent usage limits
Resell or redistribute access to the Service
Suspension and Termination of Access
We may suspend or terminate your account access if:
You violate these Terms
You engage in suspicious or malicious activity
Your account is used to harm the Service or other users
You owe fees and fail to pay after notice
Suspension notice: We will notify you of suspension except in cases of imminent harm, where we may suspend first and notify after.
License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use LocusGraph for your own business purposes (or personal use).
This license does not permit:
Sublicensing or reselling access to others
Using LocusGraph to build a competing service
Reverse-engineering or decompiling the Service
Accessing the Service through automated means without permission (except via our official APIs)
Acceptable Use
You agree to use LocusGraph lawfully and ethically. You will not:
Illegal Activity
Use the Service to commit fraud, blackmail, harassment, or defamation
Help others violate laws
Store, process, or transmit illegal content (CSAM, stolen IP, etc.)
Harmful Behavior
Use LocusGraph to train models that harm individuals or groups
Develop autonomous agents that deceive, manipulate, or harm users
Evade security measures or attack the Service's infrastructure
Scrape, crawl, or extract data from the Service without permission
Abuse of Resources
Send spam, phishing, or malicious payloads via the API
Launch DDoS attacks or resource exhaustion attempts
Use the Service to mine cryptocurrency or perform intensive computation beyond your plan limits
Engage in "prompt injection" to escape agent constraints or access unauthorized memory
Circumvention
Bypass rate limits or usage caps through workarounds
Create multiple accounts to evade restrictions
Share credentials or access across unauthorized users
Interfere with other users' data or agents
Responsible AI Development
If you're building AI agents with LocusGraph, you agree to:
Test extensively before deploying agents to production
Set guardrails on agent autonomy (don't give agents unlimited memory retrieval authority)
Monitor agent behavior for drift, hallucination, or harmful outputs
Audit memory periodically to remove outdated, incorrect, or harmful skills
Disclose AI involvement to end users (e.g., "This response was generated by an AI agent")
Implement human oversight for high-stakes decisions (financial, medical, legal, etc.)
LocusGraph cannot be your sole quality control mechanism. Your agent is your responsibility.
Ownership of Memory Data
You retain full ownership of all Memory Data you input into LocusGraph:
Events you emit
Patterns that emerge from your events
Skills graduated from your patterns
Contexts and organizational metadata you define
Effortless Labs does not claim ownership of or rights to your Memory Data.
Our Right to Use Your Memory Data
You grant Effortless Labs a limited license to:
Store, index, and retrieve your Memory Data for Service operation
Encrypt and back up your Memory Data for reliability
Analyze aggregated, anonymized insights to improve LocusGraph (e.g., "Skills are typically promoted after 10 events" — no individual data revealed)
Monitor for abuse (e.g., detect if your agent is being misused, with your consent)
You do NOT grant us permission to:
Train AI models on your Memory Data
Use your Memory Data for our own AI development
Share your Memory Data with third parties (except as required by law or as described in the Privacy Policy)
Sell, license, or commercialize your Memory Data
Responsibility for Memory Data
You are responsible for:
The accuracy and legality of all Memory Data
Compliance with third-party rights (don't store copyrighted code, trade secrets, or confidential information without permission)
Regular audits of your Memory Data (outdated or incorrect skills can harm your agent)
Deletion of sensitive data (PII, credentials, API keys should never be stored in LocusGraph)
Memory Data Deletion
You can delete Memory Data anytime through the LocusGraph interface:
Immediate deletion: Data is removed from live systems
Backup purging: Data is purged from backups within 30 days
Audit trail: Deletion events are logged for 90 days
Upon account deletion, all Memory Data is deleted within 7 business days (see Termination section).
Pricing and Plan Structure
LocusGraph offers several plans:

Pro
$49/month
5 agent, 50,000 events/month, 1 year retention, email support
Team
$149/month
Multi-agent memory sharing, 500,000 events/month, priority support
Enterprise
Custom
Isolated compute, SSO/SCIM, custom SLAs, audit logs, compliance features
Pricing subject to change. We will notify you of changes 30 days in advance. Continued use means acceptance
Billing and Payment
Monthly billing: Charges are processed on the same day each month
Annual billing: Discounted rates available; non-refundable except as required by law
Failed payments: If payment fails, we'll attempt retry for 3 days; after that, we may suspend your account
Free plan: No payment required; you may be asked to provide payment info for future upgrades
Refunds and Credits
Monthly plans: No refunds for partial months. Downgrade takes effect on your next billing date.
Annual plans: Refunds issued on a pro-rata basis if you cancel within 14 days; after that, non-refundable
Service credits: If we fail to meet published SLAs, you may receive service credits (see Service Levels section)
Overages and Limits
Hard limit: Once you reach your plan's event limit, new events are rejected (not queued). Upgrade to a higher plan to resume.
Soft limit notifications: We'll notify you when you're at 80%, 90%, and 100% of your monthly quota
Grace period: For Enterprise, we can negotiate custom overage rates
Taxes
You are responsible for any applicable sales tax, VAT, GST, or other taxes. If you have a tax ID or exemption certificate, provide it during signup.
Service Availability
LocusGraph aims for 99.5% uptime for API and retrieval operations, measured monthly, excluding:
Scheduled maintenance (we provide 24-hour notice)
Customer-caused issues (e.g., DDoS from your infrastructure)
Third-party outages (AWS, Cloudflare, etc.)
Force majeure events
Maintenance Windows
We may perform maintenance with 24 hours' notice:
Planned maintenance: Typically during off-hours (UTC times announced in advance)
Emergency maintenance: May be performed without notice to prevent data loss or security incidents
During maintenance, the Service may be unavailable. We'll post status updates to status.locusgraph.com.
Service Credits
If we fail to meet the 99.5% uptime SLA in a calendar month, you're eligible for a credit:

5% of monthly fees
Below 98.0%
7% of monthly fees
How to claim: Email support within 30 days of the outage with documentation. Credits are issued as account balance; they expire after 12 months.
No Warranty for Agent Behavior
LocusGraph's uptime SLA covers API availability only. We do not guarantee:
Your agent will execute correctly or produce useful outputs
Skills will remain valid if your environment changes
Graduated patterns are always accurate (you must audit them)
Memory retrieval will always return relevant results
Our IP
Effortless Labs owns all intellectual property related to:
The LocusGraph platform, code, and algorithms
Documentation, tutorials, and educational materials
Any improvements or modifications we make to the Service
Trademarks, logos, and brand identity
Your IP
You retain ownership of:
Your Memory Data (events, patterns, skills)
User Content you upload
Any custom code or integrations you build using LocusGraph
License to Your Content
By using LocusGraph, you grant us a worldwide, royalty-free, non-exclusive license to:
Display and process your content to operate the Service
Store and back up your content for reliability
Use aggregated, anonymized insights for improvement (e.g., "how many events until skill graduation")
This license does not permit us to train models on your content or use it for marketing without your permission.
Feedback and Suggestions
If you provide feedback, suggestions, or ideas about LocusGraph, you grant us a perpetual, irrevocable, royalty-free license to use them without attribution or compensation.
Third-Party Services
LocusGraph integrates with third-party services (LLM providers, frameworks, webhooks, etc.). When you use integrations:
Your data may flow to third parties. Review their privacy policies and terms.
We are not responsible for third-party service outages, data handling, or changes to their terms.
You control integrations. You can disconnect them anytime.
Shared liability: Some issues may involve both LocusGraph and the third party. We'll help diagnose, but each party is responsible for their own systems.
External LLM Providers
If you integrate an external LLM (OpenAI, Anthropic, etc.):
Data transmission: Prompts and retrieved memory are sent to the LLM provider per your instructions
Training: That provider may train on your data per their terms. Review their privacy policy.
Costs: You are responsible for any fees charged by the LLM provider (separate from LocusGraph fees)
Liability: LocusGraph is not liable for the LLM provider's errors, hallucinations, or misuse of your data
Agent Frameworks
If you use LocusGraph with agent frameworks (LangChain, AutoGen, etc.):
Compatibility: We support common frameworks, but compatibility is not guaranteed
Updates: Framework updates may change how LocusGraph integrates; you're responsible for testing
Support: For framework-specific issues, contact the framework maintainers; we can help with LocusGraph-specific integration issues
"As Is" Disclaimer
LocusGraph is provided "AS IS" and "AS AVAILABLE." Except as expressly stated in writing, we disclaim all warranties:
Fitness for a particular purpose — LocusGraph may not meet your specific needs
Merchantability — LocusGraph is not guaranteed to be suitable for commercial use
Accuracy or completeness — Memory Data is only as good as what you input; graduated skills may be incorrect
Non-infringement — We do not warrant that the Service doesn't infringe third-party rights (though we believe it doesn't)
Uninterrupted availability — Service may have downtime, bugs, or limitations
Agent reliability — AI agents can hallucinate, behave unexpectedly, or produce incorrect outputs
Your Responsibility
You are responsible for:
Verifying that LocusGraph is suitable for your use case
Auditing Memory Data and graduated skills before relying on them
Testing agents thoroughly before production deployment
Maintaining backups and disaster recovery procedures
Implementing human review for high-stakes decisions
Third-Party Content
We are not responsible for third-party content, services, or integrations, including:
Accuracy or legality of external LLM outputs
Availability or uptime of third-party services
Terms or privacy practices of third parties
Cap on Liability
To the maximum extent permitted by law, our total liability to you shall not exceed:
For Free plans: The greater of (a) $0 or (b) fees paid in the past 3 months
For paid plans: The greater of (a) fees paid in the past 12 months or (b) $10,000 USD
This applies to all claims, regardless of cause (breach of contract, negligence, strict liability, etc.).
Excluded Damages
We are not liable for:
Lost profits — Even if we were advised of the possibility
Lost revenue — Damages from business interruption
Lost data — Corruption or loss of Memory Data (though we take backup seriously)
Lost business opportunity — Inability to launch a product, serve a customer, etc.
Punitive or consequential damages — Indirect harm
Why This Limitation
This limitation reflects:
The low cost of the Service (especially Free plans)
The open availability of alternatives
The inherent risks of using AI and autonomous agents
The limitation of our ability to predict harm
If these limitations are unacceptable, you should not use LocusGraph.
No Limitation on Gross Negligence
Nothing in these Terms limits liability for:
Gross negligence or willful misconduct
Fraud or intentional misrepresentation
Violations of law that cannot be waived
You agree to defend, indemnify, and hold harmless Effortless Labs, its officers, employees, and agents from any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
Your use of LocusGraph in violation of these Terms
Your Memory Data (infringement of third-party IP, violation of law, etc.)
Your agents (harmful outputs, misuse, unlawful behavior)
Your integrations (misconfiguration, security breaches, etc.)
Violation of third-party rights through your use of the Service
This includes claims brought by third parties (users of your agents, regulators, etc.).
Termination by You
You can terminate your account anytime by:
Going to Settings > Account Deletion
Providing written notice to support@locusgraph.com
No reason required; we'll process termination within 7 business days
Termination by Us
We may terminate your account if:
You violate these Terms
You engage in illegal or harmful activity
You haven't logged in for 24 consecutive months (Free plans only)
Payment fails and remains unpaid for 30 days
Termination notice: We will provide 30 days' notice except in cases of imminent harm or legal violation (where we may terminate immediately).
Effects of Termination
Upon termination:
API access
Immediately revoked
Memory Data
Remains accessible for 7 days; deleted after 30 days
Billing
No new charges; prorated refunds for prepaid periods (if applicable)
Data export
You can export your Memory Data within 7 days of termination
API keys
Automatically revoked

System Abuse
Attempt to gain unauthorized access to LocusGraph systems
Disable, interfere with, or circumvent security measures
Overload the Service with requests beyond your plan's limits
Use automated tools to scrape, crawl, or extract data (except via official APIs)
This applies to all claims, regardless of cause (breach of contract, negligence, strict liability, etc.).
Harmful Content
Store illegal content (CSAM, stolen property, classified government info)
Upload malware, viruses, or exploits
Create Memory Data intended to enable fraud, harassment, or harm
Competitive Threat
Build a competing service that mimics LocusGraph's core functionality
Reverse-engineer or decompile the Service
Use LocusGraph to study our technology for a competing product
Disclose our algorithms or infrastructure details without permission
Prompt Injection and Agent Jailbreaking
Attempt to trick agents into ignoring memory constraints or safety measures
Inject prompts designed to extract unauthorized data
Use LocusGraph to develop jailbreaking techniques for agents
Circumvention
Create multiple accounts to bypass usage limits
Resell or sublicense access to LocusGraph
Share API keys or credentials with unauthorized users
Violation of these restrictions may result in immediate account suspension and legal action.
We may update these Terms from time to time. Changes will be effective when posted unless otherwise stated.
How we notify you:
Material changes: We'll email you 30 days before the change takes effect
Minor clarifications: We'll update the posted Terms with a new "Last Updated" date
Your acceptance: If you continue using LocusGraph after a change takes effect, you accept the new Terms
If you don't accept a material change, you can delete your account within 30 days for a prorated refund.
Informal Resolution
Before pursuing formal dispute resolution, please contact us:

We will respond within 15 business days and attempt to resolve the issue
Binding Arbitration (Except for Injunctive Relief)
If informal resolution fails, you and Effortless Labs agree to binding arbitration under the rules of the American Arbitration Association (AAA) or equivalent in your jurisdiction:
One arbitrator (unless the claim exceeds $250,000 USD, in which case three arbitrators)
Conducted remotely via video/phone if possible
Each party bears its own costs unless the arbitrator awards attorney fees as provided by law
Limited appeal rights — arbitration awards can only be appealed in narrow circumstances
Exceptions to arbitration:
Small claims court actions (typically $5,000 USD or less)
Injunctive relief (court orders to prevent harm)
Either party can pursue injunctive relief in court to prevent irreparable harm while arbitration proceeds
Class Action Waiver
You waive the right to class action. Disputes must be brought individually, not as part of a class or consolidated action.

Arbitration will be conducted in:
Singapore (where Effortless Labs is incorporated)
Or your local jurisdiction if required by law

These Terms are governed by the laws of Singapore, without regard to conflicts of law principles.
